RL friends?
Someone I feel comfortable with, shares common interests, has a good heart, integrity, and makes me laugh.
Online?
About the same .

my main criteria is if they can tolerate me, that tends to drive 90% of people off, the remainders must be golden

I set up a cage match and let them fight it out. Winner is my friend. Oddly enough I have had the same friend for many years now...
Not the brightest guy but I am to afraid to tell him to get lost...

Not too dumb, doesn't whine a lot, has a good sense of humor, and common interests. And not a freeloader....

I'll go with what Snow said for real life friends. As for online,....well it's online so whatever goes really. Funny enough, I get along better with female friends than male friends.

I find it almost impossible to make friends.
When I was a kid, I was UGHLY (I had a broken nose and crossed eyes and what they call 'dishwater' blonde hair...dishwater just isnt a good choice).
SO the ONLY kids that would hang around with me were other rejects, none of them became my friends. Kids are cruel and my self esteem was never even as high as low.
I had ONE friend as a kid, and I still call her from time to time, am her sons godmother etc.
High school was just as bad, though for different religious reasons....no friends there---and no one I have ever wanted to contact since.
College was a bit difference as I had gotten my nose fixed as well as corrective eye surgery --so I didnt look quite as bad and many guys (mostly geeks) wanted to date me....most were too shy to even talk to me. But I did make a few lasting friendships (some of my college male friends and I still write xmas cards etc). I also came out with a few girl friends as well....most of them married to the guys that were also my friends (easier to send one xmas card now!). Maybe this is why I liked being in college so much.
after college...I have made only a few lasting friendships...I still keep up with them even though I live no where near them. I also made a few friends in japan, and one in finland.
I have no ONLINE friendships as most of them have ended up badly to say the best about them. I have a few people I consider good acquaintances but thats as far as that will ever go.
Being female it sounds strange that a good portion of my friends are male, and I consider my husband to be one of my best friends of all time. Do I really need any one else?
How did I choose???? I didnt, most of the time choices were made for me.

insightful, anymore?
the way you choose friends is depending on your values or the values of the society, for example, there are rarely people that would like to make friends with criminals, prostitutes, drug abuser, and maybe in cosyfiep's case, social outcasts. Other might have tougher criteria such as same political views, same religion, and i do know someone that only make friends with "people that dress cool".
while you are saying "Friends aren't chosen - they just happen." the criteria deep inside your heart might already be on your way.

Me? Lol, just kidding.
I dont know, it's hard to explain. I'm not going out there to look for friends really, not anymore. I'm not even friend with people that i work with, I do have a lot of acquaintances and they are outnumbering my friends by 10 to 1.
I guess, it's easier to make friend when you are young.

Someone who I enjoy the company of and doesn't make me want to head->desk every few minutes. Relaxed and light-hearted persons get bonus points. Common interests are a must. I'll join cosy as a female with a large number of male friends - currently around 98% are male.
TBH you choose friends on the stuff that is important to you. In the end its all about connections and communication - got nothing to communicate about then there's no connection.

Making friends is the easy part - maintaining quality relationships is the challenge.
This is fine because, as with most things, quality > quantity.
